CompassForecasting Terms of Service

1. Introduction and Acceptance
Welcome to CompassForecasting. These Terms of Service ("Terms") constitute a legally binding agreement between you (the "User", "you", or "your") and Compass Forecasting Pty Ltd (ABN 72 698 681 471) ("CompassForecasting", "we", "us", or "our").
These Terms govern your access to and use of the CompassForecasting software, a Google Workspace™ Add-on built for Google Sheets™ (the "Service"). By accessing, installing, or using the Service, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms. If you do not agree to these Terms, you must not use the Service.
2. The Service & No-Access Architecture
2.1. Nature of the Service
CompassForecasting provides an enterprise-grade financial modeling and cash flow forecasting tool operating entirely within your Google Sheets™ environment.
2.2. No-Access Architecture
CompassForecasting operates on a strict "No-Access Architecture." We do not maintain a central database of your financial records. We do not extract, transfer, host, or store your financial data on our third-party servers. All data processing, including Holt-Winters Statistical Forecasting and global tax calculations, occurs locally within your own Google Sheet™ and Google Workspace™ environment.
2.3. Data Transfer & Connections
The Service connects to your Xero accounting software via an official OAuth2 API connection to pull historical actuals directly into your Google Sheet™. Because we do not act as a custodian of your financial data, CompassForecasting bears no liability for data loss, data breaches, or unauthorized access occurring within your local machine, your Google Workspace™ environment, or your Xero account.
3. Subscriptions, Trials, and Billing
3.1. Free Trials and Demo Companies
- Demo Company: Connecting the Service to the official "Xero Demo Company" is free forever. This free connection is provided "as is" and is not subject to any Service Level Agreements (SLAs).
- 14-Day Free Trial: Connecting the Service to any actual Xero Organization initiates a 14-day free trial. At the expiration of the 14-day period, if a paid subscription has not been activated, access to pull fresh data from Xero will be suspended. In accordance with our no-access architecture, any historical data already pulled into your Google Sheet™ will remain intact and accessible to you locally, but the Service will cease updating or processing new data until payment is provided.
3.2. Licensing Metric & Downstream Users
Paid subscriptions are billed strictly on a per-connected Xero Organization basis. Once a Xero Organization is connected and subscribed, the primary subscriber may grant access to unlimited individuals within or outside their organization (e.g., sharing the underlying Google Sheet™ with clients or staff).
However, any individual accessing, viewing, or interacting with the Service or its generated outputs is deemed a "User" and is fully bound by these Terms. The primary account holder represents and warrants that they have the authority to bind, and have successfully bound, all such downstream users to these Terms. The primary account holder agrees to indemnify and hold CompassForecasting harmless against any claims brought by downstream users who accessed the Service via the primary subscriber's account or shared sheets.
3.3. Payment Processing & Taxes
Subscription fees are billed either monthly or annually in advance. All payments are processed securely via Stripe. CompassForecasting does not collect, process, or store your credit card information locally. Unless otherwise explicitly stated at the time of purchase, all fees are listed exclusive of the Australian Goods and Services Tax (GST) and any other applicable regional taxes, VAT, or sales duties. You are solely responsible for the payment of all such taxes associated with your use of the Service. You agree to indemnify and hold CompassForecasting harmless against any claims, demands, or liabilities from any tax authority for uncollected sales tax, VAT, GST, or similar indirect taxes arising from your subscription.
4. User Responsibilities & Acceptable Use
You agree to use the Service only for its intended business purposes and in compliance with all applicable local, state, national, and international laws. You must not:
- Introduce any viruses, trojan horses, or other harmful technological material to the Service.
- Attempt to gain unauthorized access to the Service, circumvent any security features, or disrupt the integrity or performance of the Service.
- Use the Service for any fraudulent, unlawful, or abusive purpose.
5. Intellectual Property Rights (Dual-Entity Structure)
5.1. Ownership
The Service, including the underlying Google Apps Script code, algorithms, methodologies, UI/UX, and all associated intellectual property rights, is the exclusive property of CompassForecasting or its licensors. Compass Forecasting Pty Ltd holds a valid license to distribute, operate, and provide the Service to you.
5.2. License Restrictions
You are granted a limited, non-exclusive, non-transferable, and revocable license to use the Service. You are strictly prohibited from copying, modifying, decoding, reverse engineering, decompiling, sublicensing, or distributing the underlying Google Apps Script code or any part of the Service.
6. Third-Party Independence
CompassForecasting integrates with Google Workspace™ and Xero. We are an independent entity and are not affiliated with, endorsed by, sponsored by, or formally associated with Google LLC or Xero Limited. The functionality of our Service relies heavily on the continued availability of the Xero API and the Google Apps Script environment. We shall not be liable for any disruption or cessation of the Service caused by changes, outages, or deprecation of these third-party platforms.
7. Support & Service Level Agreement (SLA)
7.1. Support Commitment
CompassForecasting commits to responding to support requests within twenty-four (24) business hours (e.g., a request submitted at 4:00 PM AEST on a Friday will receive a response by 4:00 PM AEST on the following Monday).
7.2. Scope of SLA
This 24-business-hour SLA guarantees a first response or acknowledgment of your issue. It does not guarantee a complete resolution within that timeframe. Complex modeling bugs or data discrepancies may require extended investigation.
7.3. Third-Party Exclusions
This SLA does not cover, and we accept no liability for, downtime, degraded performance, or forecasting failures directly attributable to third-party services (such as Xero API outages or Google Workspace™ downtime).
8. Disclaimers & No Financial Advice
8.1. Mathematical Tool
CompassForecasting is a mathematical and statistical modeling tool. We do not provide licensed financial, accounting, tax, or legal advice. The outputs, forecasts, and calculations generated by the Service (including global tax and GST/VAT engines) are for informational and planning purposes only. You are solely responsible for verifying the data and for any business or financial decisions made based on the Service's outputs.
8.2. Data Dependency
The accuracy of the forecasts (including Holt-Winters projections and scenario planning) is entirely dependent upon the quality, accuracy, and completeness of the historical data pulled from your Xero file. We accept no responsibility for errors or misleading outputs arising from inaccurate underlying data.
8.3. Nature of Statistical Forecasting
You explicitly acknowledge that the Service utilizes historical statistical methodologies (including the Holt-Winters Exponential Smoothing model) to project future cash flows. These calculations are strictly mathematical simulations based on past trends and variables that you control (such as working capital and tax assumptions).
CompassForecasting does not guarantee, warrant, or represent that any predicted outcomes, "Blue Sky" scenarios, or "Grey Sky" scenarios will occur in reality. You assume 100% of the risk associated with relying on these statistical projections for budgeting, capital allocation, or operational planning.
9. Limitation of Liability & Australian Consumer Law
9.1. Australian Consumer Law (ACL)
Nothing in these Terms excludes, restricts, or modifies any guarantee, right, or remedy implied or imposed by the Australian Consumer Law (ACL) which cannot lawfully be excluded, restricted, or modified. To the maximum extent permitted by the ACL, our liability for any failure to comply with a non-excludable statutory guarantee is limited, at our option, to:
- (a) the supplying of the services again; or
- (b) the payment of the cost of having the services supplied again.
9.2. Liability Cap
To the maximum extent permitted by law, and subject always to Section 9.1 (Australian Consumer Law), CompassForecasting's maximum aggregate liability to you for any and all claims, damages, losses, or liabilities arising out of or in connection with these Terms, the Service, or the outputs generated therein—whether in contract, tort (including negligence), statute, or otherwise—shall be strictly limited to the total amount of subscription fees actually paid by you to us in the twelve (12) months immediately preceding the event giving rise to the claim.
9.3. Consequential Loss
In no event shall CompassForecasting be liable for any indirect, special, incidental, consequential, or punitive damages, including but not limited to loss of profits, loss of revenue, loss of business opportunity, or loss of data, even if advised of the possibility of such damages.
10. Modifications and Termination
10.1. Modifications to the Terms
We reserve the right to modify these Terms at any time. We will provide you with reasonable advance written notice of any material changes to these Terms or subscription pricing. If you do not agree to the modified Terms or pricing, you may terminate your subscription before the changes take effect.
10.2. Termination by You
You may cancel your subscription at any time via your account settings. Cancellation will take effect at the end of your current paid billing cycle. No refunds will be provided for partial months or unused time.
10.3. Termination by Us
We may suspend or terminate your access to the Service immediately if you breach any material provision of these Terms, including failure to pay subscription fees.
11. Force Majeure
Neither party shall be liable for any failure or delay in performing its obligations under these Terms (except for the obligation to pay fees) if such failure or delay is caused by circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, terrorism, civil unrest, strikes, internet service provider failures, or denial of service attacks.
12. Trademarks
Google Workspace, Google Sheets, and Google Analytics are trademarks of Google LLC. Xero is a trademark of Xero Limited. All other trademarks, service marks, and trade names are the property of their respective owners. CompassForecasting is an independent service and is not formally endorsed by or affiliated with Google LLC or Xero Limited.
13. Governing Law and Jurisdiction
13.1. Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the Australian Capital Territory (ACT) and the federal laws of Australia. The parties irrevocably submit to the exclusive jurisdiction of the courts of the ACT, Australia, to resolve any disputes arising under or in connection with these Terms.
13.2. International Use
While the Service is accessible globally, it is your responsibility to ensure that your use of the Service complies with the local laws, regulations, and data privacy requirements applicable in your specific jurisdiction.
